Please read these Terms and Conditions carefully before using the Nova Expense Service.
By accessing or using the Service you agree to be bound by these Terms.
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
1. Accounts
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
2. Expense and Time Tracking Data
Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material related to business expenses and time tracking ("Content").
You are responsible for the accuracy and compliance of all expense reports, receipts, and time tracking data submitted through the Service. You acknowledge that this data may be used for financial, tax, and regulatory compliance purposes.
You retain all rights to your Content, and you are responsible for protecting those rights as appropriate. By submitting Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your Content in any existing or future media.
3. Service Usage and Limitations
The Service is provided for business expense management and time tracking purposes. You agree not to use the Service for:
- Submitting fraudulent expense reports or time entries
- Violating any laws or regulations regarding financial reporting
- Attempting to gain unauthorized access to any portion of the Service
- Interfering with or disrupting the integrity or performance of the Service
- Attempting to reverse engineer or extract the source code of our software
4. Data Retention and Privacy
We retain expense reports, receipts, and time tracking data in accordance with applicable laws and regulations. In many jurisdictions, financial records must be kept for a minimum of 7 years for tax purposes.
Our Privacy Policy, available at Privacy Policy, describes how we collect, use, and share information about you when you use our Service. By using our Service, you agree to the collection and use of information in accordance with this policy.
5. Subscription and Billing
Some features of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis, depending on the subscription plan you select.
At the end of each Billing Cycle, your subscription will automatically renew under the same conditions unless you cancel it or we cancel it. You may cancel your subscription renewal by contacting our customer support team.
A valid payment method, including credit card, is required to process the payment for your subscription. You shall provide accurate and complete billing information.
6. Changes to Terms and Service
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days" notice prior to any new terms taking effect.
We may also change, suspend, or discontinue any aspect of the Service at any time, including the availability of any Service feature, database, or content. We may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.
7. Termination
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
8. Limitation of Liability
In no event shall Nova Software, Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
